WHEN THE CHURCH BECOMES A CORPORATION
It is a basic principle of law that a corporation is a legal entity created under the law of the State. When a church incorporates, it chooses to operate within a legal corporate structure created and governed by the State.
The question is not whether an incorporated church is suddenly “owned” by the government. The question is much simpler:
If Christ is the Head of His Body, why would His people deliberately place that Body into a legal corporate structure created and governed by an earthly government?
Christ said:
“And hath put all things under his feet, and gave him to be the head over all things to the church, Which is his body, the fulness of him that filleth all in all.”
— Ephesians 1:22–23
The church is Christ's Body.
It belongs to Him.
Its life comes from Him.
“And he is the head of the body, the church…”
— Colossians 1:18
So why would the Body of Christ need to become a corporation created by an earthly government?
When a church incorporates, it becomes a legal entity recognized under State law. That legal entity receives its authority to exist as a corporation from the State and must operate according to the laws governing corporations.
This is not merely a theory.
Government statutes establish what a corporation may do, what it may not do, how it must operate, and what happens when it acts outside the authority granted to it.
Oregon provides an example.
An older version of Oregon's nonprofit corporation law, ORS 61.065, authorized the Attorney General to seek an injunction against a corporation performing unauthorized acts. That language demonstrates the legal relationship clearly: a corporation operates under a statutory framework and can be restrained when it acts outside that framework.
The modern Oregon statutes are more detailed, and religious corporations receive constitutional protections concerning religious doctrine and practice. But the basic fact remains:
An incorporated church is operating within a legal structure established by earthly government.
That matters because Scripture gives us a different Head.
“And he is before all things, and by him all things consist. And he is the head of the body, the church…”
— Colossians 1:17–18
The question is therefore not whether every regulation placed upon an incorporated church is evil.
The question is:
Who is the Head?
Christ?
Or a legal structure created by the State?
Consider what happens in practice. Churches may be required to comply with zoning regulations, building codes, permits, tax laws, employment laws, transportation regulations, and other laws that apply to their activities.
The government may not be directing the preaching of every sermon, but the incorporated entity is still operating within a legal framework that the government created and enforces.
That should cause us to stop and ask whether this is the pattern Christ gave His Body.
Paul did not describe the church as a corporation.
He described it as a Body.
“For as the body is one, and hath many members, and all the members of that one body, being many, are one body: so also is Christ.”
— 1 Corinthians 12:12
And:
“Now ye are the body of Christ, and members in particular.”
— 1 Corinthians 12:27
A body receives its life from its head.
The Body of Christ receives its life from Christ.
“For we are members of his body, of his flesh, and of his bones.”
— Ephesians 5:30
That is why this question matters:
If Christ is the Head of His Body, why would His people deliberately place that Body into a legal corporate structure created and governed by an earthly government?
This is not simply a question about paperwork.
It is a question about headship.
It is a question about where the church gets its identity, authority, and life.
The world may call the corporation a church.
The State may recognize the corporation as a church.
But the question God gives us is not what the State calls it.
The question is:
What did Christ build?
Jesus said:
“I will build my church.”
— Matthew 16:18
He did not say:
“I will build my corporation.”
The church Christ built is His Body.
Christ is the Head.
Christ is the Life.
And the Body belongs to Him.
